Applies to all Nsasoft software products including Nsauditor, Product Key Explorer, and Hardware Software Inventory.
1. Grant of License
Subject to your compliance with all terms of this EULA, Nsasoft grants you a limited, non-exclusive, non-transferable license to install and use the Software as follows:
- Trial / Demo use: You may install and use the Software free of charge during the evaluation period for the sole purpose of evaluation prior to purchasing a license.
- Licensed use: Upon purchasing a license, you may install and use the number of copies of the Software specified in your purchased license on computers that you own or control.
2. Authorized Systems — Permitted Use
Nsasoft software products include tools designed for network auditing, security scanning, password recovery, and inventory management. You agree that you will use the Software only on networks, computers, and systems that you own or that you have explicit written authorization to access and audit. Unauthorized use of the Software on systems or networks belonging to third parties without their express permission may violate applicable computer access laws and is strictly prohibited. Nsasoft is not responsible for any illegal or unauthorized use of the Software by you or any third party.
3. Reservation of Rights and Ownership
Nsasoft reserves all rights not expressly granted to you in this EULA. The Software is protected by copyright, trade secret, and other intellectual property laws and treaties. Nsasoft or its suppliers own the title, copyright, and all intellectual property rights in and to the Software. The Software is licensed, not sold. This EULA does not grant you any rights to trademarks or service marks of Nsasoft.
4. Restrictions
You may not:
- Reverse engineer, decompile, or disassemble the Software, except and only to the extent that applicable law expressly permits such activity notwithstanding this limitation.
- Sell, rent, lease, sublicense, assign, lend, or otherwise transfer any portion of the Software or provide commercial hosting services with the Software.
- Remove or alter any proprietary notices, labels, or marks on the Software.
- Use the Software on systems you do not own or have authorization to access (see Section 2).
- Use the Software for any unlawful purpose or in violation of any applicable local, state, national, or international law.
5. Links to Third-Party Sites
The Software may include links to third-party websites or services. Such third-party sites are not under the control of Nsasoft, and Nsasoft is not responsible for their content, privacy practices, or any changes to those sites. The inclusion of any link does not imply endorsement by Nsasoft of the linked site.
6. Refund Policy
Nsasoft provides a free Trial Period so that you can fully evaluate the Software before purchasing. We encourage you to take advantage of this trial to ensure the Software meets your needs.
If, after purchasing a license, you are not satisfied with the Software, please contact us at support@nsasoft.us and we will review your request and work to resolve the issue. Refund requests submitted through your payment provider (including PayPal or your bank) are honored. Our goal is your satisfaction with Nsasoft products.
Statutory rights: Nothing in this section affects any statutory rights you may have as a consumer under the laws of your jurisdiction that cannot be contractually waived or excluded. In particular, consumers in the European Union, United Kingdom, and Australia may have additional statutory rights to remedies under applicable local law.
7. Updates and Additional Services
Nsasoft is not obligated to provide updates to you. However, if Nsasoft provides updates, supplements, or add-on components, this EULA applies to those updates unless separate terms are provided with them. Nsasoft reserves the right to discontinue any services provided through or in connection with the Software at any time.
8. Privacy and Data Collection
Use of the Software and the Nsasoft website is also governed by our Privacy Policy, which is incorporated into this EULA by reference. By using the Software, you consent to the data practices described in the Privacy Policy.
9. Export Compliance
The Software is subject to United States export laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce. You agree to comply with all applicable US and international export control laws and regulations. You represent and warrant that: (a) you are not located in, or a resident or national of, any country subject to a U.S. government embargo or designated as a “terrorist supporting” country; and (b) you are not listed on any U.S. government list of prohibited or restricted parties. You may not export or re-export the Software to any prohibited destination, entity, or individual without appropriate export authorization.
10. Termination
Without prejudice to any other rights, Nsasoft may terminate this EULA if you fail to comply with its terms and conditions. Upon termination, you must destroy all copies of the Software, including all component parts. Sections 3, 8, 9, 11, 12, 13, 14, and 15 survive termination of this EULA.
11. Disclaimer of Warranties
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NSASOFT AND ITS SUPPLIERS PROVIDE THE SOFTWARE “AS IS” AND “WITH ALL FAULTS,” AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, RELIABILITY, ACCURACY, OR NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE. NSASOFT DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR UNINTERRUPTED.
Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights, so the above exclusion may not fully apply to you. In such jurisdictions, any implied warranties are limited to the minimum period required by law.
12. Exclusion of Consequential and Certain Other Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NSASOFT OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY) ARISING OUT OF OR RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF NSASOFT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Certain jurisdictions, including those in the European Union and Australia, do not permit the exclusion or limitation of liability for certain categories of loss. Nothing in this EULA limits Nsasoft’s liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law in the applicable jurisdiction.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ENTIRE LIABILITY OF NSASOFT AND ITS SUPPLIERS UNDER THIS EULA SHALL BE LIMITED TO THE GREATER OF: (A) THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) US $5.00. THESE LIMITATIONS APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.
14. Governing Law and Dispute Resolution
This EULA and any dispute arising out of or related to it or the Software shall be governed by and construed in accordance with the laws of the State of Nevada, United States of America, without regard to its conflict of law provisions.
Any legal action or proceeding arising out of or relating to this EULA shall be brought exclusively in the state or federal courts located in Clark County, Nevada, and you hereby consent to personal jurisdiction in such courts. Notwithstanding the foregoing, Nsasoft may seek injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
If you are a consumer located in the European Union, nothing in this section limits your right to bring claims before the courts of your country of residence or to use applicable EU alternative dispute resolution mechanisms.
15. Entire Agreement; Severability
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Nsasoft relating to the Software and supersedes all prior or contemporaneous oral or written communications, proposals, and representations. If any provision of this EULA is held to be void, invalid, unenforceable, or illegal, the other provisions shall continue in full force and effect.
